Terms of Service

By using Handled, you agree to these terms. Please read them carefully.

1. Definitions

"Company," "we," "us," or "our" refers to Crescendo Intelligence LLC, a Utah limited liability company. "Service" refers to the Handled application and all related features, content, and functionality.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

3. Eligibility

You must be at least 16 years old to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Description of Service

Handled is a personal productivity application available on web and iOS. The Service includes task management, project tracking, AI-powered coaching, and related features.

7. API Access

You may generate API keys to access the Service programmatically. You are responsible for keeping your API keys secure and for all activity conducted through them. If you believe a key has been compromised, revoke it immediately through Settings. API access is subject to the same rate limits and acceptable use rules as the main application. We reserve the right to throttle or revoke API keys that are used in ways that degrade the Service for other users.

8. Subscription and Billing

Some features require a paid subscription. By subscribing, you agree to pay the applicable fees. Taxes may be added where required by law.

Auto-renewal. Your subscription will renew automatically at the end of each billing period unless you cancel before the renewal date through your account settings.

Price changes. We may change pricing or plan features. We will notify you at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance of the new price.

Trials. If you start a free trial, your payment method will be charged at the end of the trial period unless you cancel beforehand.

Refunds. If you are unsatisfied with the Service, you may request a refund within 14 days of your first purchase by contacting support@getthingshandled.com. Refunds do not apply to renewals, add-ons, or usage-based charges unless required by law.

9. Your Content

You retain ownership of your content and data. You grant the Company a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process your content solely as necessary to operate and provide the Service to you, including for technical operations such as backups and security. We do not use your content to train machine learning models or for any purpose unrelated to providing the Service to you.

Data retention. Upon account deletion, we will delete or anonymize your content within 30 days, except where retention is required by law or for legitimate business purposes (e.g., billing, security, dispute resolution).

10. Feedback

If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback without restriction or obligation to you.

11. AI Features and Third-Party Services

The Service includes AI-powered features with usage limits based on your plan. Our AI features are powered by Anthropic's Claude. When you use AI features, your input is sent to Anthropic for processing.

AI-generated output may be inaccurate. You are responsible for reviewing and verifying any AI-generated content before relying on it.

The Service may rely on third-party services (e.g., infrastructure, payment processing). Your use of those features may be subject to their terms.

No professional advice. AI-generated output and all other content provided through the Service is for general informational purposes only. It does not constitute legal, financial, medical, or other professional advice. You should consult qualified professionals for advice specific to your situation.

Sensitive data. The Service is not designed to process or store protected health information (PHI) under HIPAA or similarly regulated data. Do not use the Service to store data that requires specialized regulatory compliance unless you have confirmed with us that appropriate safeguards are in place.

12. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of your data. We process your data only to provide the Service.

13. Intellectual Property

The Service and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws.

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party sites or services.

15. Termination

We may suspend your account immediately if your use threatens the security or integrity of the Service or other users, if required by law, or for nonpayment. For other violations of these Terms, we will provide 14 days' written notice and an opportunity to cure the violation before terminating your account.

You may delete your account at any time through Settings. If we terminate your account without cause, we will refund any prepaid subscription fees on a pro-rata basis. Upon termination, your data will be handled in accordance with our data retention policy.

16. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, or your violation of these Terms.

17. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

18. Limitation of Liability

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

The Company's total liability for any claim arising out of or relating to the Service will not exceed the amounts paid by you to the Company for the Service in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of such courts.

21. Changes to Terms

We may update these Terms from time to time. If changes are material, we will notify you at least 30 days before they take effect. The "Last updated" date at the top of these Terms will reflect the effective date. Continued use after changes constitutes acceptance of the new terms.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements, whether written or oral.

24. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

25. Force Majeure

Neither party will be liable for any failure or delay in performing obligations due to circumstances beyond its reasonable control, including natural disasters, power or internet outages, or failures of third-party service providers.

26. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.
